These Terms & Conditions ("Terms") form a binding agreement between you and Roamify (Pvt) Limited ("Roamify", "we", "us", "our"), a company incorporated in Sri Lanka with registered office at 276, Remuna, Horana, 12400, Sri Lanka.
These Terms govern your use of:
- the Roamify website at roamify.net;
- the Roamify Traveler iOS app;
- the Roamify Driver mobile app; and
- any other Roamify product or service that links to these Terms
(together, the "Services").
Please read these Terms carefully. They include an arbitration clause and a limitation of liability. By creating an account, downloading our apps, or using the Services, you agree to these Terms and our [Privacy Policy](./PRIVACY_POLICY.md).
1. What Roamify does — and does not do
Roamify is a technology platform that helps travelers plan and book trips and connects them with independent third-party transport, guiding, and tour-operating service providers (each, a "Provider"), including drivers, guides and/or tour operators, and driver-guides (collectively, "Workforce").
- For most trip components (transport, on-the-ground guiding, certain experiences), Roamify acts as an intermediary between you and the Provider. The contract for the actual service is between you and the Provider. Roamify is not the carrier, guide, hotelier, or tour operator unless explicitly stated for that booking.
- For some trip components, Roamify may act as the direct seller (clearly indicated at checkout). In those cases, your contract is with Roamify.
- The AI Planner generates suggested itineraries. Suggestions are informational; they are not a guarantee of availability, price, or suitability.
2. Eligibility & account
To use the Services, you must:
- be at least 16 years old to use the Traveler app, and at least 18 years old to make a booking, sign a contract, or become Workforce;
- provide accurate, current, complete information when you register;
- keep your sign-in credentials confidential and notify us promptly at travel@roamify.net if you suspect unauthorised use;
- comply with all applicable laws of the country you are traveling in and the country you are based in.
You are responsible for all activity under your account.
3. Travelers — booking, payment, changes, refunds
3.1 Booking
When you confirm a booking, you make a binding offer. The booking is accepted only when we (or the Provider) send you a confirmation. You agree to provide accurate traveler details, including passport/ID, party size, and any required preferences.
3.2 Pricing & currency
Prices on the platform are shown in the currency selected at checkout. Prices may include applicable taxes; where they do not, this is clearly stated. Prices can change before you confirm a booking; once confirmed, the agreed price is fixed unless the Provider's terms allow otherwise (e.g., dynamic surcharges for changed itineraries).
3.3 Payment
Payments are processed via PayPal, which handles card and wallet transactions globally. By submitting a payment, you authorise Roamify and/or the Provider to charge the applicable amount through PayPal. If your payment fails, we may suspend or cancel the booking. Roamify does not store full card details.
3.4 Changes, cancellations, and refunds
The cancellation policy for each booking is shown before you confirm it. Different Providers and experience types have different policies — read carefully.
- Roamify-direct cancellations: refunds are made to the original payment method within 14 business days.
- Provider-managed cancellations: refunds follow the Provider's published policy.
- Force majeure (natural disaster, war, civil unrest, government action, pandemic, or similar): we work with Providers to offer credits, rebooking, or refunds where possible. We cannot guarantee a full refund where costs have already been paid out and are non-recoverable.
To request a change or cancellation, use the in-app "Manage trip" flow or email travel@roamify.net.
3.5 Post-payment edits and account credit
After you complete the first payment on a trip, you can keep editing the trip — add new activities, swap a hotel, change rooms, add a guide or vehicle. The following rules apply:
- New items are paid via top-up. Anything you add after your first payment is charged separately at the next checkout. We never re-charge you for items that are already paid.
- Removed or downgraded items do not refund automatically. If you delete or replace a paid item (for example, swapping a deluxe room for a standard, or removing an activity), the price difference stays on your Roamify account as account credit.
- Account credit is account-wide. Credit you accumulate on any trip is added to a single balance on your Roamify account and can be applied at checkout on any future top-up, on any of your trips. The current balance is shown on your profile in the app.
- Account credit is non-cash and non-transferable. It cannot be withdrawn, paid out, transferred to a different Roamify account, or used as a deposit for another person's booking. It does not expire while your Roamify account is active; if you delete your account, any remaining balance is forfeited.
- You can request a cash refund instead for an exceptional reason (illness, accident, force majeure) by writing to travel@roamify.net. Refund decisions are at Roamify's discretion and follow the cancellation policy in Section 3.4. Approved refunds are returned to the original payment method within 14 business days, less any non-recoverable Provider costs and PayPal processing fees.
- No-shows and same-day removals are not eligible for credit. Items removed within 24 hours of the scheduled time are treated as used and are non-refundable.
We surface your account credit balance and any outstanding top-up amount in the app so you always see where you stand before confirming an edit or a payment.
3.5 Travel documents, visas, health, insurance
You are solely responsible for ensuring you hold valid travel documents (passport, visa, vaccination certificates) and adequate travel insurance for your trip. Roamify is not a travel insurer and does not provide medical advice.
3.6 Code of conduct
While using the Services, you must not harass Workforce or other users, damage vehicles or property, bring illegal items into vehicles, or behave in a way that endangers anyone. We may suspend or terminate accounts for breaches.
4. Workforce — drivers, guides and/or tour operators, driver-guides
This Section 4 applies if you are Workforce. You are an independent contractor, not an employee of Roamify. Nothing in these Terms creates an employment, partnership, agency, or joint-venture relationship.
4.1 Onboarding & verification
You must provide:
- valid national ID;
- a valid driving licence (drivers and driver-guides) and roadworthy, insured vehicle that meets local requirements;
- a valid tour-guide licence or tour-operator licence/business registration where required by Sri Lankan law (guides and/or tour operators, and driver-guides);
- bank or mobile-money details for payouts;
- any other documentation we reasonably request.
You must keep this information current. We may suspend you if documents lapse.
4.2 Assignments
We dispatch assignments based on availability, location, traveler preferences, ratings, and other factors. You may accept or decline assignments, subject to cancellation-rate thresholds we publish in the app. Frequent late cancellations may lead to suspension.
4.3 Conduct
You must:
- treat travelers professionally, courteously, and safely;
- comply with all road-safety, transport, and tourism regulations;
- not solicit business outside the platform from travelers you met through the platform, for 12 months after the trip;
- not request or accept payments outside the platform (tips offered in person are permitted);
- maintain vehicle cleanliness, working seatbelts, and required safety equipment;
- never operate under the influence of alcohol or drugs.
4.4 Payouts
Payouts are made to your registered account on a weekly schedule (each Wednesday for the previous Mon–Sun cycle), less Roamify's service fee. Our current service-fee structure is published in the Workforce dashboard and may change with 30 days' notice.
4.5 Insurance & liability between you and travelers
You are responsible for maintaining valid vehicle and public-liability insurance. You are liable to travelers for injury, loss, or damage caused by you during the assignment, subject to your insurance.
4.6 Background checks
We may run background checks, driving-record checks, and licence-validity checks at onboarding and periodically thereafter, and may rely on third-party verifiers.
5. AI Planner
The AI Planner uses a third-party large-language-model service (OpenAI) to generate trip suggestions.
- Output is suggestive, not authoritative. Prices, availability, opening hours, visa rules, weather, and similar facts may be wrong or out of date — always confirm critical details before relying on them.
- We do not guarantee that suggested itineraries are safe, legal, available, or suitable for your specific needs.
- You are responsible for your decisions and bookings based on AI output.
- You must not use the AI Planner to generate content that is illegal, harassing, defamatory, deceptive, or that infringes third-party rights.
6. Acceptable use
You must not:
- use the Services to break any law or third-party right;
- scrape, copy, frame, reverse-engineer, or build a competing product from the Services or our content;
- circumvent rate limits, security controls, or paywalls;
- upload malware, run denial-of-service attempts, or stress-test our systems without prior written permission;
- impersonate anyone, create fake accounts, or manipulate ratings/reviews;
- use the Services to launder money, fund terrorism, traffic persons, or commit fraud;
- automate access except via APIs we publish, in line with their published terms;
- post content that is hateful, sexually explicit, defamatory, or that infringes intellectual property.
We may remove content and suspend or terminate accounts that violate these rules.
7. Reviews and user content
When you post reviews, photos, or other content ("User Content"):
- you keep ownership of your User Content;
- you grant Roamify a worldwide, royalty-free, sublicensable, transferable licence to host, store, reproduce, modify (for formatting), publish, publicly perform, publicly display, and distribute that content within the Services and our marketing, for as long as you keep your account plus the retention period in our Privacy Policy;
- you confirm you have the rights to grant this licence and that the content does not violate any law or third-party right;
- we may, but are not obliged to, moderate User Content. We may remove anything we consider in good faith to be harmful or non-compliant.
8. Intellectual property
The Services, including the Roamify name, logo, website, apps, and AI Planner output curated by us, are owned by Roamify or our licensors and are protected by Sri Lankan and international IP laws. We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. All rights not expressly granted are reserved.
You may not use Roamify branding in your own apps, signage, vehicles, or marketing without our prior written consent.
9. Third-party services
The Services link to or rely on third-party services (PayPal, Google Maps, Apple Push, OpenAI, Firebase, and others). Those services have their own terms and privacy policies. We are not responsible for third-party services, but we choose vendors carefully and require contractual protections where we can.
10. Service availability
We work hard to keep the Services available, but we do not promise they will be uninterrupted, error-free, or fit for any particular purpose. We may suspend the Services for maintenance, security, or legal reasons. Some features may be limited by region or device.
11. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available". We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant:
- the quality, safety, legality, or completion of any service provided by a Provider;
- the accuracy of AI Planner output;
- the availability of any specific destination, vehicle, guide and/or tour operator, or experience;
- that the Services will meet your requirements.
12. Limitation of liability
To the maximum extent permitted by law:
- Roamify is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or loss of goodwill, even if we have been advised of the possibility.
- Roamify's total cumulative liability for any claim arising out of or relating to the Services is limited to the greater of (a) the amounts you paid to Roamify in the 6 months before the claim, or (b) USD 100.
- Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law (such as liability for death or personal injury caused by our negligence, or for fraud).
Where Roamify is acting only as an intermediary (Section 1), claims relating to the underlying service are between you and the Provider, and Roamify's role is limited to reasonable assistance in resolving them.
13. Indemnity
You agree to indemnify and hold harmless Roamify, its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising out of:
- your breach of these Terms;
- your violation of any law or third-party right;
- your User Content;
- if you are Workforce, any act or omission by you in connection with an assignment.
14. Suspension and termination
We may suspend or terminate your account at any time for breach of these Terms, suspected fraud, safety risk, prolonged inactivity, or a legal or regulatory reason. We will give you reasonable notice where practical.
You may close your account anytime via in-app settings or by emailing travel@roamify.net. Closing your account does not refund non-refundable bookings or cancel existing legal obligations.
On termination, the following sections survive: 6, 7, 8, 11, 12, 13, 15, 16, 17.
15. Disputes — governing law and arbitration
15.1 Governing law
These Terms and any dispute arising out of or in connection with them are governed by the laws of the Democratic Socialist Republic of Sri Lanka, without regard to its conflict-of-laws principles.
15.2 Try to resolve informally first
Before starting any formal proceeding, you agree to contact us at legal@roamify.net and try to resolve the dispute in good faith for 30 days.
15.3 Arbitration
Any dispute that is not resolved informally will be finally resolved by arbitration in Colombo, Sri Lanka, under the Arbitration Act No. 11 of 1995 of Sri Lanka, by a single arbitrator appointed by mutual agreement or, failing agreement, by the Institute for the Development of Commercial Law and Practice (ICLP) Arbitration Centre. Proceedings will be in English. Judgment on the award may be entered in any court of competent jurisdiction.
15.4 Exceptions
Either party may seek injunctive relief in court for intellectual-property or confidentiality matters. Consumers in jurisdictions where mandatory consumer law applies (e.g., the EEA, UK) keep the right to bring claims in their home courts where local law requires.
15.5 No class actions
Disputes will be resolved on an individual basis. You and Roamify agree not to bring or participate in any class, collective, or representative action.
16. Changes to these Terms
We may update these Terms. For material changes, we will give you at least 30 days' notice by email or in-app banner. Continued use after the effective date means you accept the updated Terms. If you do not agree, you must stop using the Services and may close your account.
17. General
- Entire agreement: These Terms, the Privacy Policy, and any policies linked from them are the entire agreement between you and Roamify regarding the Services.
- Severability: If any provision is unenforceable, the rest stay in force.
- No waiver: A delay in enforcing a right does not waive it.
- Assignment: You may not assign these Terms; we may assign them to an affiliate or in a business transfer.
- Notices: We send notices to your registered email. You send notices to legal@roamify.net.
- No agency: Nothing here creates a partnership or agency between you and Roamify beyond what is expressly stated.
